Who is CODE Investing?

CODE Investing is one of the UK’s leading alternative debt finance marketplaces for Small and Medium Enterprise (SME) business loans. CODE Investing’s fundraising platform and skilled investment professionals also allow companies to raise equity and debt capital from Sophisticated, High Net worth and Retail investors. CODE offers SMEs an efficient, cost effective, and transparent way to raise funds through a variety of instruments, having facilitated over £100 million in funds raised through its platform to date.

CODE Investing is a registered trademark of CODE Investing Limited, a limited company registered in England and Wales (No. 07706111), with a registered office at Kemp House, 152 City Road, London, EC1V 2NX.

In respect of its regulated activities, CODE Investing Limited is authorised and regulated by the Financial Conduct Authority (No. 627852).

What are the different types of investors?

CODE Investing categorizes our  investors as either Sophisticated, High Net Worth (HNW) or General investors.  Generally speaking they are defined as follows.

Sophisticated investor

Is one of the following:

  • A director of a company turning over at least £1 million within the last two years
  • Have made more than one investment in an unlisted company in the last two years
  • A member of a network or syndicate of business angels for at least six months
  • Have worked in the past two years in a professional capacity in the private equity sector or in the provision of finance for small and medium enterprises

HNW investor

  • Has a net income in excess of £100K; or
  • Has net assets in excess of £250K beyond your pension fund assets and your private residence

General investor

In the twelve months preceding

  • Has not invested more than 10% of personal net assets in unlisted shares or unlisted debt securities; and
  • Will not invest more than 10% of personal net assets in unlisted shares or unlisted debt securities
How do I self-certify my investor status?
As part of the joining process with CODE we will ask you to choose which type of investor you are based on your investment experience and income. This will determine the types of investments you can make.
What fees will I pay?

None, there are no investment fees for investors.

What is your Privacy Policy?

We operate a strict privacy policy. We will not share your details with anyone outside of CODE Investing. You can read our privacy policy here .

How secure is it?

We take security very seriously at CODE Investing. Like many investment managers, we believe that the safest way of looking after your investments is to appoint a “custodian bank” to hold your money. Our custodian is called Global Custodian Services, using Santander.

GCEN holds your investments in a segregated account for added security and never lends your assets to third parties. This means that your investments are protected in the unlikely event that either CODE Investing or GCEN are declared bankrupt. In addition, our site is protected to modern bank standards with 256-bit SSL encryption.

Who can invest?

To invest through CODE Investing you must be over 18 years old and legally entitled to invest. You must be resident in the United Kingdom or a country where you may legally receive financial promotions of the nature provided by CODE Investing and be legally entitled to invest in the type of investments offered.

You will only be able to invest with CODE Investing Limited once you are registered as sufficiently sophisticated or otherwise appropriate for these types of investment. When registering as an Investor with CODE Investing, you will either be asked to complete a short questionnaire to determine if you understand these risks, or to certify that you are a sophisticated investor, or a “High net worth” individual.

What does owning shares give me?

Owning shares gives you a direct interest in the profits of the company. If the company is successful and pays dividends, you will be entitled to a dividend for each share you own. Then if the company is ever sold, you are entitled to share proportionately in the sale proceeds.

Why do I have a limit on the amount I can invest in businesses with CODE Investing?

Investing in a business always carries some risks – not every business makes enough profit to pay a dividend to its shareholders, and some businesses fail. To make sure CODE Investing members can afford to bear any potential losses, our regulator requires us to set a limit on how much they can invest in any year. We work this out automatically based on how much each member earns and how experienced they are as an investor.

How do I take money out?

If you have uninvested funds in your account, you can request a refund of these funds at any time. Please email us your request here at contactus@codeinvesting.com .

Once you have invested in Cotswolds Distillery through the Angel’s Share 2,  you are unlikely to be able to withdraw funds from your investment until an “exit event” happens: The company is bought by another company, is listed on a stock exchange or buys back shares from its shareholders.
